Outfitter Subscription Terms

This is the agreement for a business listing on WildHQ. It covers your subscription, the pages we publish for you, and the inquiries we pass on. It does not cover the trips you sell, which you contract for directly with your own clients.

These Outfitter Subscription Terms are an agreement between you, the business listing on WildHQ (“you,” “your”), and EquityMasters Labs LLC, a California limited liability company doing business as WildHQ (“WildHQ,” “we,” “us”).

Our Terms of Use also apply to you and are incorporated here. Sections 16 to 19 of the Terms of Use (disclaimers, limitation of liability, indemnification, and disputes) govern this agreement too. Where the two documents conflict on a commercial matter, this one controls.

Your subscription price, billing term, and what is included are set out in the Plan, which forms part of this agreement and which we may change in accordance with sections 12 and 21.

1.What this agreement covers

1.1This agreement covers your subscription to WildHQ, the pages we publish for your business, and the inquiries we pass to you.

1.2It does not cover any trip you sell. You contract with your clients directly, on your own terms, and WildHQ is not a party to that contract. Section 5 of the Terms of Use says this in full and it applies to you as well as to your clients.

2.Your account

2.1Your account has one owner. The owner is the only person who can start a subscription, change payment details, or cancel.

2.2The owner may invite others as administrators or members. You are responsible for everyone you invite and for what they do on your account, including anything they publish.

2.3Ownership can be transferred to another member of your account. Transferring it moves billing authority with it.

2.4Keep your contact email current. It is where we send inquiry notifications, billing notices, and anything else this agreement requires us to tell you.

3.What we provide

3.1While your subscription is active we will:

  • publish your business profile and your trip listings on WildHQ, subject to section 8;
  • pass to you the inquiries people send you through WildHQ, and send them to the recipients you nominate;
  • give you a dashboard showing your listings, your inquiries, your media, and your billing;
  • market the WildHQ marketplace, on the terms in section 4.

3.2There is no limit on the number of trips you may list and no per-listing fee. There is no setup fee and no onboarding fee.

3.3We charge no commission on your trips. What you charge your client is yours. We take no share of a booking, a deposit, or a cancellation fee, and we do not bill you per inquiry.

3.4We may earn money from advertising, sponsorship, and affiliate arrangements with third parties, as section 12 of the Terms of Use describes. That is not a commission on your trips and nothing in it is charged to you.

4.What we do not promise

4.1We do not promise any number of inquiries, bookings, or trips. Inquiry volume depends on your species, your country, your pricing, your photography, the season, and demand we do not control. Any figure we discuss with you is an illustration and not a commitment.

4.2How we spend our marketing budget is entirely our decision. We market the WildHQ marketplace, and we decide how much to spend, which channels to use, when to spend it, and which pages, categories, or outfitters any spend is pointed at. Nothing in this agreement obliges us to advertise your account, your listings, or your category, or to spend any particular amount at any particular time. Your subscription fee is consideration for the subscription described in section 3, not a budget held on your behalf or allocated to your pages.

4.3We do not promise that WildHQ will rank in any search engine, appear in any particular result, or be recommended by any assistant or model.

4.4We may change how listings are ordered, presented, filtered, or featured at any time. Placement is not part of the subscription unless the Plan says it is.

4.5We do not promise the Service will be available without interruption. Section 16 of the Terms of Use applies.

5.Building and approving your pages

5.1We may build your profile and listings for you from material you send us and from publicly available information about your business.

5.2Nothing we build for you goes live until you have reviewed it and told us to publish it. You can change anything, as often as you like.

5.3Once published, keeping your pages accurate is your responsibility. Prices, dates, seasons, licensing information, and availability change and we do not track them for you.

5.4Some imagery on your pages may be created rather than photographed, as section 9.3 of the Terms of Use describes. We will tell you which images those are, and we will replace any of them with a photograph of your own whenever you send us one.

6.Content and rights

6.1Your content stays yours. Your photographs, your descriptions, your business information, and your trip details remain your property.

6.2You give us a worldwide, royalty-free, sublicensable license to host, store, reproduce, adapt, resize, and display your content in order to operate and to market the Service. That includes using it in advertising, in social media, in email, in editorial features, and in material we produce about the marketplace, and it includes making derivative versions such as crops, compressions, and adjusted images.

6.3That license continues while your subscription is active. If you cancel, it continues only so far as necessary for material already published or distributed, and for our own records. We will stop using your content in new marketing.

6.4What we create is ours. Pages, descriptions, editorial writing, photography, and imagery we produce for you belong to WildHQ. While your subscription is active you may use that material to promote your own business, including on your own website and social channels, with attribution where we ask for it. That permission ends when your subscription ends, and we may agree something different in writing.

6.5You may not copy or reuse WildHQ's platform, design, brand, or editorial material beyond what 6.4 allows.

7.Your representations and obligations

You represent and agree that, for as long as you list on WildHQ:

7.1you are a real business, authorized to offer the trips you list, and the person accepting this agreement can bind you;

7.2you hold every license, permit, registration, insurance policy, and authorization your operations require, in every jurisdiction where you operate, and you will keep them current;

7.3you use written acknowledgment-of-risk and liability waivers with your clients, appropriate to the trips you run;

7.4you own or have permission to publish everything you give us, including every photograph, and including the name, photograph, biography, and title of any guide or staff member you ask us to display. You are responsible for having that person's permission, and you will tell us promptly if it is withdrawn. The same applies to any email address you nominate to receive your inquiries where it belongs to someone other than you;

7.5everything you publish is accurate and not misleading, including prices, price units, durations, seasons, species, success representations, accommodation, and what is and is not included;

7.6you will respond to inquiries you receive through WildHQ in a reasonable time and deal with the people who send them honestly;

7.7you will not submit an inquiry to your own account, ask anyone else to, or otherwise cause an inquiry to be created that is not a genuine inquiry from a prospective client; and

7.8you will comply with the Acceptable Use Policy and the Content Policy.

7.9If you breach section 7 we may unpublish your pages, suspend your account, or terminate this agreement under section 17, and section 18 of the Terms of Use (indemnification) applies.

8.Publishing

8.1Your pages are public only while your account is published and your subscription entitles you to publish. You may unpublish at any time.

8.2We may require a minimum standard before your pages go live, including a business name, a usable hero image, and at least one listing with a price. We will tell you what is missing.

8.3We may unpublish or remove anything that breaches this agreement, is inaccurate or misleading, or creates legal risk for us. Where it is reasonable to do so we will tell you first and give you a chance to fix it.

8.4Your public web addresses are fixed when a page is first published, so that links and search results keep working. Renaming a trip afterwards does not change its address.

9.Inquiries

9.1Every inquiry sent to you through WildHQ is yours alone. We do not pass it to another outfitter, we do not sell it, and we do not distribute it based on what anyone pays us.

9.2A person may contact several outfitters. That is their decision, and it does not breach 9.1.

9.3We may contact people who inquire, for our own purposes, including about WildHQ and about trips and outfitters on WildHQ. Our Privacy Policy explains this.

9.4Inquiries are delivered by email to the recipients you nominate, and are also available in your dashboard. Keep at least one working recipient address, and check that our email is not being filtered. We are not responsible for an inquiry you do not act on because it was filtered, misdirected, or ignored.

9.5We do not verify that a person who inquires is genuine, solvent, licensed, or serious.

9.6What counts as an inquiry. A real person asking about a trip is an inquiry. Someone who never replies to you is an inquiry. Someone asking about a trip you do not run is an inquiry. Automated submissions, spam, and obvious junk are not inquiries. If an inquiry that started your billing looks wrong to you, tell us and we will look at it and resolve it in your favour where there is any real doubt.

9.7Historical inquiries imported from a previous website of yours are marked as such and can never start your billing.

10.Free until your first inquiry

10.1You pay nothing until we deliver your first inquiry. You can build your pages, publish them, and receive inquiries before any charge is made.

10.2Your payment method is collected when you subscribe and is not charged at that time.

10.3When your first qualifying inquiry arrives, we email you to say so and to tell you the date of your first charge. That date is the number of days stated in the Plan after the inquiry arrives.

10.4Only an inquiry submitted through WildHQ can start your billing, and only the first one does. Later inquiries never start it again.

10.5If you cancel before that first charge, you are charged nothing.

11.Fees, term, and renewal

11.1Your price, your billing term, and what is included are in the Plan. Your fee is charged in advance for the whole term.

11.2Your subscription renews automatically at the end of each term, for a further term of the same length, at the price then applying to you under section 12, unless you cancel first. You accept these renewal terms when you subscribe, and we keep a record of that acceptance.

11.3Payments are processed by our payment provider. We do not receive or store your card details.

11.4If a payment fails we may retry it and we may suspend publishing under section 14 until it succeeds.

11.5Fees exclude any tax that applies. Where we are required to collect tax we will add it.

11.6Before each renewal we will email you a reminder, stating that your subscription is about to renew, the amount, the renewal date, and how to cancel.

11.7You are responsible for any fee your own bank or card issuer charges you.

12.Price changes

12.1We may change your price at renewal. We will not increase it by more than ten percent above the price you paid for the previous term, and we will tell you at least 30 days before the renewal date.

12.2A price increase takes effect at your next renewal, never during a term.

12.3If you do not accept a new price, cancel before the renewal date under section 13.

12.4Founding rate. If the Plan records that your account holds a founding rate, that rate is locked for as long as your subscription remains continuously active, and section 12.1 does not apply to you. If you cancel and later resubscribe, the founding rate does not return and the price then current applies.

12.5A change to what the Plan includes is handled under section 21, not this section.

13.Cancellation and refunds

13.1You may cancel at any time, yourself, from your dashboard. No phone call, no email, no notice period, and no cancellation or early-termination fee.

13.2Canceling stops the next renewal. Your subscription continues until the end of the term you have paid for, and your pages stay published until then.

13.3Fees already paid are not refunded, and a term is not refunded pro rata, except where 13.4 applies or where the law requires it.

13.4We will refund you where: we charged you in error; we charged you for a term after you canceled; your billing was started by something that was not a genuine inquiry under section 9.6; or we terminate this agreement under section 17.3 without cause, in which case we refund the unused part of your term.

13.5Refunds are made to the payment method charged.

14.If your subscription lapses

14.1If your subscription ends, is canceled, or is unpaid, your account is unpublished. Your profile and your trips stop being publicly visible.

14.2Nothing is deleted. Your listings, photographs, inquiries, and settings are retained, your web addresses are preserved, and you keep access to your dashboard and your inquiry history.

14.3Republishing is not automatic. When you subscribe again you publish your profile once and your listings return with it.

14.4We may delete an unpublished account's data after a reasonable period, and we will give you notice first. Our Privacy Policy sets out retention.

15.Comped and promotional accounts

15.1Some accounts are hosted at no charge, for a period we set. If yours is one, you owe nothing for that period, you have no subscription, and no payment method is held.

15.2We will tell you before that period ends. When it does, publishing requires a subscription, and nothing already published is deleted.

15.3Nothing in section 11, 12, or 13 applies to you while your account is comped.

16.WildHQ's access to your account

16.1WildHQ holds an administrator seat on accounts we build or support. That seat lets us edit your pages, see your inquiries, and help you with the platform.

16.2That seat cannot be removed or changed by your account's owner or administrators. It is a condition of us building and supporting an account. We may step off it ourselves, and we will if you ask us to and we agree that support no longer needs it.

16.3Our seat cannot start, change, or cancel your subscription, and it cannot change your payment details. Those are the owner's alone.

16.4We use that access to operate and support your account, not to compete with you.

17.Suspension and termination

17.1You may terminate by canceling under section 13.

17.2We may suspend publishing or access immediately, and terminate this agreement, if you breach section 7, if you do not pay, if we reasonably believe your account is causing harm or legal risk, or if you use the Service unlawfully. Where it is reasonable to do so we will tell you first.

17.3We may terminate this agreement without cause on 30 days' notice, and if we do, section 13.4 applies.

17.4On termination your pages are unpublished, section 14 governs your data, and sections 6.3, 6.4, 7.9, 18, and 20 survive.

18.Confidentiality

18.1Each of us may learn things about the other that are not public. Neither of us will disclose the other's non-public commercial information except to people who need it, to advisers, or where the law requires.

18.2Your inquiry data and your booked values are yours, and we will not disclose them to another outfitter in a form that identifies you.

18.3We may publish aggregated figures about the marketplace that do not identify you.

19.Additional products

19.1Where we make additional products available to you, including promoted placement, featured positions, additional listing capacity, advertising, or payment and booking features, they are offered on the terms we publish with them and are additional to your subscription.

19.2Buying an additional product never changes your subscription price or your founding rate.

19.3Nothing in this agreement obliges us to offer any additional product, or prevents us from doing so.

20.Disclaimers, liability, and indemnity

20.1Sections 16, 17, and 18 of the Terms of Use (disclaimers, limitation of liability, and indemnification) apply to this agreement in full.

20.2For the avoidance of doubt, and in addition, we are not liable for lost bookings, lost revenue, lost inquiries, or lost business arising from an interruption to the Service, an email that is not delivered, a page that is unpublished, a change in how listings are presented, or a decision we make under section 4.

20.3Our total liability to you is capped as set out in section 17.3 of the Terms of Use, which for a paying outfitter means the fees you paid us in the twelve months before the claim.

21.Changes to this agreement and the Plan

21.1We may change this agreement or the Plan. Where a change materially reduces what you receive or increases what you pay or owe, we will give you at least 30 days' notice by email before it takes effect, and it will apply to you from your next renewal rather than during your current term.

21.2If you do not accept a material change, cancel under section 13 before it takes effect. Continuing after that means you accept it.

21.3We may make non-material changes, including corrections and changes that reflect how the Service already works, without notice.

21.4A price change is governed by section 12.

22.General

22.1Assignment. You may not assign this agreement without our written consent, except to a buyer of your business who agrees to be bound by it. We may assign or transfer this agreement, in whole or in part, to an affiliate or in connection with a reorganization, a change of legal entity, a merger, or a sale of all or part of our business, without your consent.

22.2No agency, no partnership. You are an independent business. This agreement creates no partnership, joint venture, employment, franchise, or agency relationship, and neither of us may bind the other.

22.3No exclusivity. Nothing here stops you listing anywhere else, advertising anywhere else, or selling direct.

22.4Entire agreement. This agreement, the Plan, the Terms of Use, and the policies they incorporate are the whole agreement between us about your subscription, and replace anything said or written before, including anything said on a sales call.

22.5Governing law and disputes. Section 19 and section 21.4 of the Terms of Use apply.

22.6Severability and waiver. If a provision is unenforceable it is limited or removed to the minimum extent necessary and the rest stays in force. Not enforcing a provision does not waive it.

22.7Notices.We give you notice by email to your account's contact address. Give us notice in writing at 1111 6th Ave, Ste 550 #391280, San Diego, CA 92101, or for ordinary matters at support@thewildhq.com.
